Access and use of the Mirye Software Website and Mirye Store Website (referred to here collectively as MIRYE) is governed by the Terms of Use as declared here and on other pages of this site. If you visit or shop through either website, you expressly warrant all of these conditions. Please read this document carefully. Mirye Software is a division of Proactive International.

ELECTRONIC COMMUNICATIONS

Electronic Communications refers any communication with us that occur electronically, including email, direct messaging, messaging through associated venues such as social media that are directly managed by Mirye Software managers and employees. Any communications you send to MIRYE shall become the property of Proactive International, LLC. You consent to receive communications from us. We primarily communicate with you by e-mail or by posting notices on this site; if we are unable to reach you by electronic means, we may contact you by other means. You agree that any communications that we provide to you electronically satisfy any legal requirement that such communications be in writing, except wherein our Terms and Conditions require another definition of notice in writing.

TRUTH IN COMMUNICATIONS

You expressly warrant that all information provided by you to is accurate and not containing false or fraudulent information. If any order or communication provided by you contains false or fraudulent information, you acknowledge that MIRYE may delete it without notice and that any licenses purchased, supplied or granted by MIRYE as a result of your communication containing false or fraudulent information are automatically terminated. Temporary or spam filtering email service accounts may be treated as a fraudulent account since they interfere with the delivery of products, and are often used for scam purposes. Any order containing missing or fraudulent information may be treated by Mirye Software as a fraudulent order, and may be deleted or erased, unprocessed and without feedback; we reserve the right to share fraudulent information with anyone and without limitation.

MEMBER BENEFITS & UNSUBSCRIBING

Upon creating of a customer profile, selecting to receive any benefit including free products, you are a candidate for membership status. A part of membership status is agreement to receive our newsletters or other marketing communications. If you expressly unsubscribe from receiving marketing communications from us, you will lose any membership benefits and not have access to membership benefits for up to 1 year after unsubscribing.

You expressly acknowledge that some commercial products may require use of a product that is only available as a member benefit, such as the Toon People brand of products (including Chunk (tm), Slim (tm) and others), and requesting such a free product warrants your agreement to receive commercial communications from MIRYE for up to 1 year after such request.

COPYRIGHT

You may not use any copyrighted materials from this site without permission. MIRYE Agent of Notice of claims for copyright and intellectual property infringement or any DMCA notice are on the OUR ADDRESS note below.

TRADEMARKS

Mirye, Mirye Store and the "Mirye Eye" logo and associated service names, service marks and trademarks are the property of Proactive International, LLC. All other trademarks not owned by Proactive International, LLC on this site are the property of their respective owners, who may or may not be affiliated with, connected with, or sponsored by, Mirye Store.

LICENSE ACCESS

Mirye Store grants you a limited license to access and make personal use of the site. You may not download (other than page caching) or modify it, or any portion of it, except with express written consent.

YOUR ACCOUNT

If you use this site, you are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer, and you agree to accept responsibility for all activities that occur under your account or password. Mirye Store reserves the right to terminate your account at any time.

RISK OF LOSS

All items purchased from Mirye Store are made based on FOB Mirye Store. This means that the risk of loss or title for any purchases passes to you upon our delivery to a carrier. Mirye Store reserves the right to charge you a fee for re-issuing any download information any time after 30 days of purchase.

PRODUCT DESCRIPTIONS

Mirye Store does not warrant that product descriptions or other content of this site is accurate, complete, reliable, current, or error-free. If a product offered by Mirye Store itself is not as described, your sole remedy is to return it in unused condition. Unused condition as applies to software means that the package is unopened and any security seals are unbroken, and/or the final software license or key has not been provided to you.

RETURNS AND RMAS

Mirye Store will only accept returns in the following condition and where all conditions are true for physical products:

• The product is in Unused Condition (see PRODUCT DESCRIPTIONS)
• The product has an authorized RMA number with your name, address, and copy of the original order attached.
• The product was returned by a carrier that indicates time of delivery

If you return a product that does not meet these conditions, Mirye Store is not obliged to accept the return, nor return the missent returned item back to you if you send it to Mirye without authorization. Digital download only products are non-refundable.

CHARGEBACKS

If Mirye Software or its parent company charges an order on your behalf that results in a charge back initiated by you, you agree to pay any charge back fee assessed to Mirye Software or its parent company. Even if the charge back is canceled later, you still will be assessed this fee (Mirye Software has to pay this fee even if the action is canceled). The minimum fee for a charge back is $35 plus the original charge. Mirye Software may terminate any licenses purchased through MIRYE or its parent company if any outstanding charge back remains unresolved. You understand that if any charge back fee remains unpaid after 20 days from notice, MIRYE may share your name, email and address with any third party or publicly, and any obligations to you under privacy terms are voided.

DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY

To the full extent of the applicable law, MIRYE disclaims all warranties, express or implied, but not limited to implied warranties of merchantability and fitness for a particular use. Any information, products, licenses or services provided to you through this site are provided "as is". MIRYE and its parent company Proactive International, LLC will not be held liable forany damages of any kind that rise from use of this site, its services or products, including but not limited to direct, indirect, incidental, punitive and consequential damages.

APPLICABLE LAW

By visiting or buying from MIRYE, you agree that the laws of the state of Oregon, without regard to principles of conflict of laws, will govern these Terms and Conditions and any dispute of any sort that might arise between you and MIRYE. Any dispute relating to Mirye Store shall be adjudicated in either state or federal court in Washington County, Oregon, USA, and you consent to exclusive jurisdiction and venue in such courts.

SITE POLICIES, MODIFICATION, AND SEVERABILITY

Any other policies on this site which govern a specific venue or topic shall take precedence. We reserve the right to make changes to these Terms and Conditions at any time. If any of these conditions shall be deemed invalid, void, or for any reason unenforceable, that condition shall be deemed severable and shall not affect the validity and enforceability of any remaining condition.

PRIVACY

Your rights to privacy are limited. With the exception of credit card information (as under applicable laws), we reserve the right to share all customer details, name, address, phone number, email address, poll information and any customer feedback with the manufacturer or copyright holder of any product you purchase on this site, and you explicitly grant us the right to do so.
